Job Description

What You'll Do

Reporting to the Associate General Counsel – Commercial, theSeniorLegal Counsel - Commercial will serve as a strategic partner and legal advisor acrossCentralandEasternEurope, enabling revenue growth while managing legal and regulatory risk in a global SaaS environment.

This role partners with Sales, Customer Success, Revenue Operations, Deal Desk, Finance, Privacy, Security,Productand other groups to support complex commercial (SaaS) transactions, shape commercial legal strategy, build scalable contracting practices and develop and drive contracting workflow and process improvements.

Theposition requires an independent, disciplined self-starter with a team-focused mindset and a passion for resolving problemsand executing long term strategies that improve productivity, remove bottlenecks, and serve as blueprints for global adoption and use. It also requiresstrong communicationskills, the ability to present positive, creative business friendly solutions, andadvisemanagement of risks andmitigationstrategies.

Responsibilities

• Review,draftand negotiate all forms of customercontracts with some of the world’s largest and most respected brands. This includes but is not limited to Non-Disclosure Agreements, SaaS Agreements, Professional Services Agreements, Master Services Agreements, Order Forms, Statementsof Work, Data Processing Addenda, Privacy Terms, Artificial Intelligence Terms, Security Frameworks, Proofsof Concept, and Service Level Agreements.

• Interpret contractual terms and conditions and confidentlyadviseinternal and external stakeholders and managementregardingcontractual obligations and business friendly solutionsandstrategies to resolvecomplexissues.

• Develop,implementandmaintainstandard templates, forms, playbooks,andclause libraries.

• Provide training to the sales and services teams that you support,and across the wider Sprinklr business asrequired.

• Provide transactional support and general legal advice to different teams across the company on mitigating legal risks in the commercial context and work closely with cross functional teams to achieve business outcomes with safeguarding Sprinklr interests.

• Handle other project-based work within the scope of the legal department responsibilities onas-needed basis including contractingprocess and workflow improvements, AI use/adoptionand quote to cash processes.

• Develop strong relationships with other members of the Sprinklr Legal team and business stakeholders, becoming a trusted advisor to internal clients.

Requirements

• Fullyqualified German lawyer (First and Second State Exam)

• Fluent in bothGerman and English

• 5-10years of experience as acommercialattorneyprovidinglegal advice and negotiatingSAASagreements in a software/technology/publiccompanyenvironment.

• Strong understanding of European commercial legal considerations, with experience supporting multi-jurisdictional transactionsin Europeand partnering across regions in a global, matrixed organization.

• Success working with sales teams in customer negotiations and contracting. Prior use of a contract lifecycle management software (e.g.Conga/ SFDC) is a plus.

• Excellent organizational skills with great attention to detail, commonsenseanda senseof humor.

• Strong written and oral communication skills, including the ability toclearly and concisely explain legal conceptsto a business audience.

• Ability to work independently, manage competing priorities effectively, and meet deadlines.

• Outcomes-oriented, creative, and collaborative, able tothink outside the boxto arrive at business-friendly solutions.

• Comfortable in a fast-paced and demanding environment, and able tomaintaincalm and perspective under pressure.
