At FF, we’re creating something new, something connected, and something with a true global impact.</p> <p><strong><u>Your Role:</u></strong></p> <p>Reporting to the General Counsel, as Senior Legal Counsel, you’ll be a key legal leader driving strategic legal initiatives across Faraday Future’s global operations. You’ll collaborate with senior leadership, oversee outside counsel, and serve as a principal advisor on securities filings, governance, legal compliance, contract review and negotiation, and internal investigations.</p> <p><em><u>Responsibilities:</u></em></p> <ul> <li>Assist in the creation of a compliant legal system suitable for a public company</li> <li>Lead public company compliance requirements, SEC filings</li> <li>Manage government reporting on various compliance matters</li> <li>Responsible for reviewing all contracts including supply chain contracts, consulting agreements, securities purchase agreements, NDAs, etc.&nbsp;</li> <li>Counsel company management on legal and ethical compliance laws, regulations, and governance</li> <li>Develop and implement a comprehensive program for legal and ethical compliance that meets all applicable legal requirements and industry standards</li> <li>Develop and implement training regimens for compliance and governance topics</li> <li>Manage other legal functions that support corporate internal operation including IP, labor and others</li> <li>Implement and manage compliance policies, protocols, and training</li> <li>Audit company procedures, policies, and practices to identify potential risks</li> <li>Investigate allegations of legal and ethical compliance violations&nbsp;</li> <li>Work seamlessly and collaboratively within the legal team and as a legal business partner to multiple internal business stakeholders</li> <li>Strong personal ethics code and integrity</li> </ul> <p><strong><u>Basic Qualifications:</u></strong></p> <ul> <li>Law degree (J.D.) from ABA-accredited institution</li> <li>Membership in good standing with California state bar</li> <li>Minimum 10 years of experience, mix of in-house corporate legal counsel and law firm experience preferred, public company experience preferred</li> <li>Must have experience in one of the following industries: high-tech consumer electronics, internet AI, automotive</li> <li>Must have in-depth understanding of the industry and be able to combine the legal and business perspectives to make the optimal decision</li> <li>Strong knowledge of securities laws and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934, with experience supporting equity and debt financing.</li> <li>Experience assisting with the preparation, review, and management of SEC filings, including Forms 8-K, 10-Q, 10-K, registration statements, proxy statements, and Section 16 filings.</li> <li>Familiarity with corporate governance and corporate housekeeping matters, including preparation and maintenance of Board of Directors materials, meeting minutes, and related corporate records and documentation.</li> <li>Experience reviewing, drafting, and negotiating a broad range of commercial agreements, including non-disclosure agreements, services agreements, technology transactions, joint development agreements, university research agreements, and other strategic business contracts.</li> <li>Strong ability to advise business teams and cross-functional stakeholders on contract terms, intellectual property rights, product development matters, and legal issues related to strategic partnerships.</li> <li>Proven ability to collaborate effectively with cross-functional teams, including Supply Chain, Engineering, and Human Resources, to provide practical, business-oriented legal support.</li> </ul> <p><strong><u>Preferred Qualifications:</u></strong></p> <ul> <li>Some intellectual property and litigation experience is a plus</li> <li>Experience responding to employment-related inquiries, subpoenas, and other legal requests in a timely and compliant manner.</li> <li>Strong knowledge of employment and labor law, with the ability to advise Human Resources teams on employee relations, compliance, reasonable accommodations, performance management, and dispute resolution matters.</li> <li>Ability to support the development, implementation, and maintenance of company policies and procedures designed to minimize legal and compliance risks.</li> <li>Experience assisting with internal investigations, including maintaining legal privilege, assessing risk, and providing strategic guidance on investigative outcomes and corrective actions.</li> <li>Fluency in Mandarin preferred</li> </ul> <p><strong><u>Annual Salary Range:</u></strong></p> <p>($159,000 - $230,000 DOE), plus benefits and incentive…
