If hired, you will support a broad range of corporate transactional matters, including capital markets transactions (public and private debt and equity offerings), as well as M&amp;A and strategic investments. Reporting to the Associate General Counsel - Capital Markets, you will partner closely with key stakeholders, including Corporate Development, Treasury, Tax, Accounting, and Finance.&nbsp;</span></p> <p><span style="font-size: 12pt;">This is an exciting opportunity to work on sophisticated, high-impact transactions in a fast-paced, high-growth environment while serving as a trusted legal advisor to the business.&nbsp;</span></p> <p><span style="font-size: 12pt;"><strong>In this role, you will:</strong></span></p> <ul> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Support a range of complex corporate transactional matters, including capital markets transactions, M&amp;A, and strategic investments.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Draft, negotiate, and review a broad range of transaction documentation, provide advice on deal structuring and strategy, and conduct and support due diligence and ongoing compliance.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Partner with Corporate Development and other cross-functional teams to execute transactions.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Support legal and other departments in the management of post-closing obligations.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Work collaboratively to prioritize business objectives and support overall company success.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Work efficiently with outside counsel.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Support other internal legal initiatives and projects, as needed.</span></li> </ul> <p><span style="font-size: 12pt;"><strong>Who You Are:</strong></span></p> <ul> <li style="font-size: 12pt;"><span style="font-size: 12pt;">J.D. from an ABA accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M&amp;A, and securities.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">In-house experience at a high-growth tech company or publicly traded company, with relevant prior experience at a top law firm.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Strong interpersonal skills, including the ability to communicate and collaborate effectively with a wide variety of stakeholders and business partners, and build interdepartmental relationships at all levels, including senior-level executives.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Excellent drafting, project management, and legal interpretation skills.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">A commitment to professional conduct, excellence, and attention to detail under time pressure.</span></li> <li style="font-size:…
