The Senior Counsel will be a key legal partner across the business – facilitating customer and commercial contracting, supporting financing, M&A and corporate transactions, and providing hands-on legal advice across the full range of the company’s legal matters.
This is a hands-on role for a business-minded lawyer who is comfortable across Israeli and US practice.
Responsibilities
Commercial contracting
• Draft, review and negotiate customer, vendor, partner and reseller agreements under Vi's playbooks, escalating to the General Counsel where needed.
• Support DPAs, BAAs and data terms in line with Vi's positions.
• Help maintain contract templates and playbooks.
General legal support
• Support the General Counsel and HR on employment matters, including cross-border considerations.
• Help develop and implement internal legal policies.
Israeli corporate governance
• Partner with the Corporate Secretary on governance for the Israeli parent, preparing board and shareholder meeting materials, resolutions and minutes, and keeping corporate registers and Registrar of Companies filings current.
• Help keep the company aligned with the Israeli Companies Law, including the approval process for related-party transactions.
• Work with Finance and the plan trustee on equity plan administration, including grants, exercises and related filings.
• Serve as the day-to-day point of contact for Israeli outside counsel on governance matters.
Corporate and equity
• Maintain corporate records and approvals for the parent and its US subsidiary.
• Support equity plans, option grants, exercises, vesting, share transfers and cap table administration.
• Support financings, secondary transactions and M&A, including diligence, data rooms, documentation and closings.
• Manage shareholder requests, information rights, transfer restrictions and ROFR processes.
Requirements
• Law degree (LL.B. or J.D.) and admission to the Israel Bar; US (NY or CA preferred) bar admission or US-law experience an advantage.
• 7+ years of post-qualification experience.
• Hands-on Israeli corporate governance experience, ideally for a technology company.
• Experience with Israeli equity administration, financings and M&A.
• Strong commercial contracting experience, particularly SaaS agreements with US enterprise customers.
• Fluent English; professional Hebrew for Israeli corporate records and filings.
• Authorized to work in the United States.
Advantages
• Business-oriented, practical and solution-driven.
• Comfortable working independently and managing multiple matters at once.
• Excellent communicator and negotiator.
• Detail-oriented, organized and accountable.
• Experience in health-tech, AI or regulated industries (e.g. HIPAA, privacy).
