About this role

Director of Legal at Augment Markets

About Augment
Augment is a software infrastructure company building the Robinhood for private markets. We are creating a modern platform that enables investors to access and trade shares in leading pre-IPO companies through a technology-driven experience.
We operate at the intersection of software, brokerage, and private markets. Our platform is designed to make private market investing more accessible, efficient, and technology-native.
The Role
We are hiring a Director of Legal to serve as a core deal lawyer within Augment's legal team.
This is not a conventional in-house legal role. Augment is a Series A company, but we already execute complex private market transactions across SPVs, escrow arrangements, fund structures, side letters, brokerage operations, and securities placements. We need a transactional lawyer who can be a true partner to the legal, business development, and operations teams — someone who can structure, negotiate, and close deals while also helping build the legal infrastructure that allows us to scale.
This person will work closely with the Head of Legal and report directly to her. You will own the legal execution of Augment's deal flow end-to-end: drafting and negotiating investment documents, structuring SPV and fund vehicles, managing side letter negotiations, and ensuring that each transaction closes cleanly and on terms that protect the company and its investors. You should be comfortable moving between high-level deal strategy and very detailed document work — one hour negotiating investor protections like distribution mechanics, redemption rights, and expense caps, and the next hour reviewing subscription documents, escrow agreements, or regulatory filings.
This is a hands-on, individual contributor role. You will have support from outside counsel and internal team members, but you should expect to personally drive the most important transactional and structuring work yourself.

🧑‍💻 You Will:
Serve as lead deal counsel across Augment's private market transactions

• Structure, draft, and negotiate investment documents including subscription agreements, purchase agreements, LP agreements, and related transaction documents

• Own the full deal lifecycle from term sheet through closing, coordinating across internal teams and external counterparties

• Provide practical, business-minded legal advice on deal terms, risk allocation, and structuring alternatives

Own SPV and fund structuring and documentation

• Draft and negotiate SPV operating agreements, fund documents, and related organizational materials

• Structure vehicles that are efficient, scalable, and appropriate for Augment's platform and investor base

• Advise on entity formation, governance, and dissolution across a growing portfolio of investment vehicles

Lead side letter and investor negotiation

• Negotiate side letters with institutional and strategic investors, with a focus on key commercial terms such as in-kind distribution rights, redemption protections, and expense fee caps

• Track and manage side letter obligations across the platform's investor relationships

• Identify when investors require specific protections — such as MFN provisions or expense caps — and tailor documentation accordingly on a deal-by-deal basis

Manage escrow, settlement, and transaction operations

• Oversee escrow arrangements, settlement mechanics, and closing deliverables for each transaction

• Partner with operations and finance to ensure transaction flows are legally sound and operationally executable

• Help design scalable processes for recurring deal types so the platform can grow without sacrificing legal rigor

Support securities regulatory and compliance work

• Work with the compliance and legal teams to ensure transactions comply with applicable securities laws, broker-dealer regulations, and RIA requirements

• Monitor and advise on regulatory considerations that directly impact deal execution, including publicly traded partnership (PTP) rules, Section 4(a)(7) holding period requirements, transfer restrictions, and resale eligibility

• Assist with regulatory filings, offering documents, and investor disclosures as needed

• Help manage conflicts of interest disclosures and related compliance obligations in connection with specific deals and relationships

Build and improve Augment's transactional legal infrastructure

• Develop and maintain template libraries, playbooks, and precedent documents for recurring transaction types

• Identify opportunities to standardize and automate legal workflows across the deal pipeline

• Help select and manage outside counsel relationships for specialized or overflow transactional work

Partner cross-functionally with business and operations teams

• Work closely with business development, product, and finance to evaluate new deal structures, product launches, and market opportunities

• Translate legal risk and structuring considerations into clear guidance that non-lawyers can act on

• Support diligence on new investment opportunities and counterparty relationships

🧠 You'd Fit in Well If:

• Want to be a trusted deal partner, not just a document reviewer

• Are excited by businesses that combine software, financial infrastructure, and securities operations

• Can move fluidly between complex deal structuring and detailed document execution

• Are comfortable operating with limited resources and building processes while doing the work

• Have strong judgment and can simplify messy deal situations without oversimplifying them

• Know how to build trust with counterparties, co-investors, regulators, and internal stakeholders

• Like bringing structure to ambiguous, fast-moving deal environments

• Are responsive, reliable, and calm under pressure when deals are closing

• Are not afraid to get into the weeds on document markup and negotiation points
